These Terms of Trade govern all commercial transactions, Request for Quote (RFQ) processes, and sales agreements between Me&Co Furniture and our B2B clients and distributors (the "Buyer"). By submitting an RFQ or placing an order, the Buyer agrees to these terms.
1.1. Request for Quote (RFQ): All orders begin with a formal RFQ submission via the Client Portal. Pricing, MOQ, and lead times provided are estimates until formalized in a Pro Forma Invoice.
1.2. Order Confirmation: An order is confirmed and legally binding only upon the Buyer’s acceptance and payment of the required deposit, as specified in the Pro Forma Invoice.
1.3. Minimum Order Quantity (MOQ): All products are subject to an MOQ as specified in the Pro Forma Invoice. Orders below the MOQ may be subject to a surcharge or rejection.
2.1. Standard Terms: Unless otherwise agreed in writing for established accounts, all B2B orders require payment via two milestones:
50% Deposit: Required upon order confirmation to secure materials and commence production.
50% Final Payment: Due prior to the loading of goods for shipping. Goods will not be released until final payment is successfully verified.
2.2. Currency: All payments must be made in the currency specified on the Pro Forma Invoice (e.g., EUR, USD, ZAR). Currency conversion fees are the responsibility of the Buyer.
3.1. Quality Standards: Products comply with the specifications outlined in the product sheets, including the use of E1 Certified and FSC Certified materials, as applicable.
3.2. Warranty: Me&Co Furniture warrants that the goods will be free from defects in material and workmanship for a period of one (1) year from the date of delivery. This excludes defects resulting from misuse, improper assembly, or normal wear and tear. A separate six (6) month warranty may apply to specific components.
3.3. Claims: Claims for defects must be submitted in writing within the warranty period, accompanied by photographic evidence and the original invoice.
4.1. Default Trade Term: All orders are placed under the INCOTERM EXW (Ex Works) unless otherwise stipulated in the Pro Forma Invoice.
4.2. INCOTERMS 2020 Explanation:

Under EXW, the Buyer assumes all costs and risks involved in transporting the goods from the Me&Co factory gate to the final destination, including loading, export customs, freight, and insurance.
4.3. Flat-Pack Optimization: Me&Co utilizes specialized flat-pack packaging and loading techniques to maximize container efficiency. Final cubic volume and weights are provided to the Buyer for accurate freight costing.
4.4. Lead Times: Quoted lead times commence only upon receipt of the 50% deposit and signed order confirmation. Lead times are estimates and may vary based on production queue and material availability.
5.1. Governing Law: These Terms of Trade shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law principles.
5.2. Dispute Resolution: The parties agree to first attempt to resolve any dispute through good-faith negotiation. If a resolution cannot be reached, the matter shall be submitted to the competent courts of South Africa.
